The entire contents of this website is the copyright of Clare Web Design and may not be reproduced without permission. All rights reserved. Any person or company undertaking the services of Clare Web Design Ltd agrees to the terms and conditions as set out.
Intellectual Property
The client will not hold Clare Web Design responsible for any infringement of copyright relating to text contained within designs. It is the responsibility of the client to ensure that no copyright infringement will occur in the use of their company name. Refunds will not be made in cases of such copyright infringement.
We always do our best to ensure that our designs are original and do not infringe upon any existing trademarked design. Should this unlikely event occur then the limit of our liability is the price of the package, i.e. the client will be offered a full refund. Unapproved website designs shall remain the copyright of Clare Web Design and may not be reproduced without permission.
Clare Web Design reserves the right to reproduce any of its artwork, including approved web sites, for promotional purposes.
Responsibility
Clare Web Design shall not in any circumstances be liable to the Buyer for any indirect or consequential losses or any loss of profits purported to have been suffered by the Buyer.
Clare Web Design shall not be liable for any failure in the performance of any of its obligations under the agreement caused by factors outside its control.
Clare Web Design will not be liable in any circumstances for the consequences of any delay in delivery or performance or failure to deliver or perform.
Payment
For websites, a 40% non refundable deposit is required before commencement of work. 50% payment is required 4 weeks after commencement of the work. Final payment needs to be paid on website going live. If there has been no progress /information forthcoming from the client on the website for 30days, the client will be invoiced for the work in full. Print must be paid in advance. Invoices for new clients or those overseas Clare Web Design Ltd reserves the right to invoice with a payable on receipt of Invoice. Any extra work ordered during the design process will be invoiced in full before commencement.
Please be aware that under the terms of the Late Payment of Commercial Debts (Interest) Act 1998, we are entitled to levy interest and a late payment compensation fee on overdue debts. The Late Payment Fee is currently levied at £40.00. Please note, non-payment to terms my adversely affect your credit rating.
Payments will be credited first to late payment charges & next to the unpaid balance. The Client shall be responsible for all collection or legal fees necessitated by late or default in payment. Clare Web Design Ltd reserves the right to withhold delivery & any transfer of ownership of any current work if accounts are not current or overdue invoices are not paid in full. All grants of any license to use or transfer of ownership of any intellectual property rights under this Agreement are conditioned upon receipt of payment in full which shall be inclusive of any & all outstanding Additional Costs, Taxes, Expenses, & Fees, Charges or the costs of Changes.
Design Process
Clients may request any number of revisions to the initial design providing they give clear and concise feedback and that process converges. When the website build starts, the design is approved. Design changes are then classed as post approval alterations.
All liabilities for errors, changes, or alterations become the responsibility of the client, once a design has been approved.
On completion of the design process and full payment is made, the ownership and copyright of the final website is automatically transferred to the client. Client will own the website in full, but does not have the right to sell copies of the website or to copy the code for any other projects.
Credit Checks
Clare Web Design Ltd reserves the right to check the credit details of any person or company using Clare Web Design Ltd Services. Credit information found may result in clients being asked to pay a deposit, or the whole amount before commencing work.
Post-Approval Alterations
Post-approval revisions can be made and charged for at a rate of $60/£30 per hour (minimum 1 hour). The client will be sent an invoice via email when the work is completed.
Website Optimisation (SEO)
Optimisation of websites are for a minimum term of 12 months.
CWD will try to improve your search engine results in response to a search request, however this is not a guarantee of increase in position.
Termination
Clare Web Design may at its discretion suspend or terminate the supply of any goods and services if the buyer fails to make any payment when it us due or otherwise defaults in any of its obligations under the contract or any other agreement with Clare Web Design.
Clare Web Design may also terminate the supply of any goods or services if the buyer becomes insolvent, has an administrative receiver appointed of its business or is compulsorily or voluntarily wound up or Clare Web Design believes that any of those events may occur and in any case of termination may forfeit any monies paid.
Clare Web Design may by written notice terminate the Agreement immediately and without liability for compensation or damages except as mentioned in this agreement if the Buyer fails to make payment as specified above.
Any contract of SEO cancelled during the first twelve (12) months will incur a penalty charge of £200.
The Contract shall be governed by and construed in all respects in accordance with English law.
